ThingSpin — Terms of Service

These Terms of Service ("Terms") govern your access to and use of ThingSpin ("the Service"), operated by ThingSpin ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Beta Program

The Service is currently in beta. This means:

  • The Service is provided on an "as-is" and "as-available" basis.
  • Features may change, break, or be removed without notice.
  • We may discontinue the beta program or the Service at any time.
  • We may limit, suspend, or terminate your access at any time, for any reason, without notice or liability.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code, algorithms, models, or methods of the Service.
  • Scrape, crawl, or use automated means to access the Service or extract data from it.
  • Use the Service or its outputs to develop, train, or improve any competing AI product or service, including machine learning models.
  • Copy, reproduce, distribute, or create derivative works of any part of the Service itself — including its user interface, software, algorithms, or documentation — for the purpose of building a competing product.
  • Circumvent any access controls, rate limits, or security measures.
  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations, including export control and sanctions laws.
  • Use the Service to design weapons, firearms, explosive devices, illegal items, controlled substances paraphernalia, or any object whose production, possession, or distribution is prohibited or restricted by applicable law.
  • Use the Service or any generated outputs for medical, life-support, transportation, industrial safety, or other safety-critical applications where a defect, failure, or inaccuracy could lead to death, personal injury, or significant property or environmental damage.
  • Share your account or access credentials with third parties.
  • Introduce malicious code, viruses, or harmful material through the Service.

5. Intellectual Property — The Service

All rights, title, and interest in and to the Service — including its software, algorithms, models, prompts, user interface, documentation, and all other components — are and remain our exclusive property. Nothing in these Terms grants you any right, title, or interest in the Service except the limited right to use it as described herein.

6. Intellectual Property — Your Content and Generated Outputs

  • Your Input: You retain ownership of any original content you provide to the Service (such as text prompts and descriptions).
  • Generated Outputs: Subject to these Terms and your compliance with them, you own the models, files, and design outputs that the Service generates based on your input ("Generated Outputs"). You are solely responsible for your use of Generated Outputs, including ensuring they are fit for your intended purpose.
  • Our License to Your Content: By submitting content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and process your input solely for the purpose of operating, improving, and developing the Service. This includes using your prompts and interactions to improve the quality of the Service.
  • No Guarantee of Uniqueness: Generated Outputs are created by AI and may be similar to outputs generated for other users. We do not guarantee that Generated Outputs are unique, novel, or non-infringing.

7. No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure.
  • Generated Outputs will be accurate, suitable for manufacturing, structurally sound, or fit for any particular purpose.
  • Defects will be corrected.

YOU USE GENERATED OUTPUTS AT YOUR OWN RISK. You are solely responsible for validating any designs, models, or files before manufacturing, 3D printing, or any other use. We are not responsible for any physical, financial, or other damages resulting from the use of Generated Outputs.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless ThingSpin and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or Generated Outputs.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Any product, design, or item you create, manufacture, or distribute using Generated Outputs.

10. Privacy and Data

We collect and process data necessary to operate the Service, including your prompts, interactions, and account information. We may use this data to operate, analyze, and improve the Service. We will not sell your personal information to third parties.

Our Privacy Policy describes how we collect, use, and share your data. By using the Service, you agree to our Privacy Policy. During the beta period, data practices may evolve, and we will notify you of material changes.

11. Feedback

Any feedback, suggestions, or ideas you provide about the Service are entirely voluntary. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate any feedback without obligation or compensation to you.

12. Modifications to Terms

We may update these Terms at any time. If we make material changes, we will notify you through the Service or by other reasonable means. Your continued use of the Service after such notice constitutes acceptance of the updated Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, for any reason, without prior notice or liability. Upon termination, your right to use the Service ceases immediately. Sections 5 through 11 and 14 through 16, as well as any provisions that by their nature should survive termination, survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.

15. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics or epidemics, acts of government, internet or infrastructure outages, third-party service failures, labor disputes, or cyberattacks.

16. General

  • Entire Agreement: These Terms constitute the entire agreement between you and ThingSpin regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights under these Terms. We may assign ours without restriction.
